Heyyo Terms and Conditions

Welcome to Heyyo. These Terms and Conditions (“Terms”) govern your access to and use of the Heyyo website, mobile application, platform, services, features, content, tools, and any related services offered by Heyyo, which is owned and operated by Sikhona, Inc., a Delaware corporation (“Sikhona,” “Heyyo,” “Company,” “we,” “us,” or “our”).

By accessing, registering for, browsing, viewing, commenting on, liking, applying to become a content creator, uploading content after approval, purchasing services, subscribing to content, making payments, receiving payments, or otherwise using Heyyo, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use Heyyo.

1. Description of Heyyo

Heyyo is an online video, media, creator, and community platform comparable in certain ways to video-sharing platforms such as YouTube, but with important differences. Heyyo is designed to provide approved content creators with monetization opportunities and to provide users with access to content, community interaction, and creator engagement.

Unlike some other platforms, users who create a standard account on Heyyo are not automatically permitted to upload videos, livestreams, media, or other creator content. Standard users may view content, like content, leave comments, and access other features that Heyyo makes available to general users. To upload or publish content as a creator, a user must submit a creator request and receive approval from Heyyo staff.

Heyyo does not use algorithms to recommend, rank, promote, boost, suppress, or automatically distribute content of any kind. Content visibility, placement, access, and distribution are determined by non-algorithmic platform rules, user subscriptions, user choices, creator activity, administrative decisions, categories, search, chronological or manual organization, and other non-algorithmic methods established by Heyyo.

2. Ownership and Operator

Heyyo is owned and operated by Sikhona, Inc., a Delaware corporation. All references to Heyyo in these Terms include Sikhona, Inc., its affiliates, officers, directors, employees, contractors, representatives, successors, licensees, and assigns.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or use Heyyo unless a parent or legal guardian provides consent and supervises your use where permitted by law.

By using Heyyo, you represent and warrant that:

You have the legal capacity to enter into these Terms.

You will comply with all applicable laws, rules, and regulations.

You will provide accurate and truthful information.

You will not use Heyyo for unlawful, fraudulent, harmful, abusive, or unauthorized purposes.

You are not prohibited from using Heyyo under any applicable law or prior platform restriction.

Heyyo reserves the right to refuse access, suspend accounts, terminate accounts, deny creator approval, or restrict use of the platform at any time in its sole discretion.

4. Account Registration

To use certain features of Heyyo, you may be required to create an account. When creating an account, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree not to:

Create an account using false or misleading information.

Impersonate another person, company, church, ministry, organization, public figure, celebrity, content creator, or brand.

Share your account with unauthorized users.

Sell, rent, transfer, or assign your account without written approval from Heyyo.

Use another person’s account without permission.

Attempt to bypass security, verification, or platform restrictions.

You must notify Heyyo immediately if you believe your account has been compromised.

5. Standard User Accounts

A standard user account allows a user to access features made available to general users, which may include viewing content, liking content, leaving comments, subscribing to creators, purchasing access to content, participating in platform communities, and using other features approved by Heyyo.

A standard user account does not automatically grant the right to upload, publish, livestream, sell, monetize, or distribute content on Heyyo. Uploading and monetization privileges are reserved for users who apply for and are approved as content creators.

6. Creator Approval Requirement

Users who wish to become content creators on Heyyo must submit a creator request through the process established by Heyyo. Heyyo staff will review each request and may approve, deny, delay, request additional information, or revoke creator privileges in Heyyo’s sole discretion.

Approval as a content creator is not guaranteed. Heyyo may consider any factors it deems relevant, including but not limited to identity verification, content category, prior conduct, legal compliance, copyright history, brand safety, community standards, quality of submitted materials, public reputation, risk of abuse, platform capacity, business priorities, and alignment with Heyyo’s policies.

Heyyo may require creators to provide additional information, including legal name, business name, tax information, payment information, identification, social media links, prior content samples, licenses, releases, proof of rights, or other documentation.

7. Creator Status Is a Privilege

Creator status is a privilege, not a right. Heyyo may revoke, suspend, limit, or modify creator privileges at any time, with or without prior notice, if Heyyo determines that a creator has violated these Terms, violated applicable law, created legal or reputational risk, failed to comply with platform policies, engaged in misconduct, submitted false information, uploaded prohibited content, infringed intellectual property rights, manipulated platform features, or acted in a manner harmful to Heyyo, Sikhona, users, creators, advertisers, sponsors, partners, or the public.

8. No Algorithmic Recommendation or Promotion

Heyyo does not use algorithms to recommend, promote, boost, rank, suppress, target, or distribute content to users. Heyyo’s platform is designed to avoid algorithmic content manipulation and algorithmic promotion.

Users understand and agree that content discovery on Heyyo may be based on user choice, subscriptions, following, search, categories, chronological listings, manual placement, editorial selection, creator links, direct sharing, featured areas selected by Heyyo staff, paid placements where clearly disclosed, or other non-algorithmic methods.

Heyyo does not guarantee that any content will receive views, likes, comments, subscribers, sales, revenue, exposure, promotion, or engagement.

9. User Conduct

You agree to use Heyyo respectfully, lawfully, and in accordance with these Terms. You may not use Heyyo to post, comment, message, upload, distribute, promote, or engage in activity that:

Violates any law, regulation, court order, or government requirement.

Infringes copyrights, trademarks, publicity rights, privacy rights, trade secrets, or other rights.

Contains threats, harassment, stalking, intimidation, bullying, or abuse.

Contains defamatory, false, misleading, fraudulent, or deceptive statements.

Promotes violence, terrorism, criminal activity, exploitation, human trafficking, abuse, or harm.

Contains sexually exploitative content, child sexual abuse material, or any content involving minors in an unlawful or inappropriate manner.

Contains malware, spyware, viruses, phishing links, malicious code, or unauthorized tracking.

Attempts to scam, defraud, deceive, or financially exploit users.

Impersonates another person or misrepresents affiliation with any person or entity.

Attempts to interfere with the security, operation, or availability of Heyyo.

Uses bots, scrapers, crawlers, automated tools, or unauthorized scripts.

Attempts to manipulate views, likes, comments, subscriptions, payments, creator earnings, or engagement.

Encourages users to evade Heyyo’s payment systems or policies.

Violates any additional community guidelines, creator rules, or policies issued by Heyyo.

Heyyo reserves the right to remove content, delete comments, restrict access, suspend accounts, terminate accounts, deny payments, or take other action where Heyyo determines that user conduct violates these Terms or creates risk to the platform.

10. Comments and Community Interaction

Users may be permitted to comment on content and interact with creators and other users. You are solely responsible for your comments and interactions.

Heyyo may remove, hide, restrict, moderate, disable, or preserve comments at any time. Heyyo is not obligated to monitor all comments but reserves the right to do so.

You agree not to use comments to harass others, post unlawful content, promote spam, advertise without permission, post personal information, make threats, impersonate others, or interfere with the experience of other users.

11. Content Ownership

Users and creators retain ownership of content they lawfully own and submit to Heyyo. However, by uploading, posting, submitting, transmitting, or making content available on Heyyo, you grant Heyyo and Sikhona a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, perform, distribute, transmit, encode, transcode, modify for technical formatting, make available, promote within the platform, and otherwise use the content as necessary to operate, improve, market, protect, and provide Heyyo.

This license allows Heyyo to make your content available to users through the platform and through related technical systems. This license continues for as long as your content remains on Heyyo and for a reasonable period thereafter for backup, legal, archival, security, compliance, and operational purposes.

You represent and warrant that you own or have all necessary rights, licenses, consents, permissions, clearances, and releases required to upload, publish, monetize, or distribute your content on Heyyo.

12. Creator Content Responsibilities

Approved creators are solely responsible for all content they upload, publish, sell, stream, promote, or monetize on Heyyo.

Creators represent and warrant that their content:

Does not violate any law.

Does not infringe any third-party rights.

Does not contain unauthorized copyrighted music, video, images, artwork, performances, clips, broadcasts, logos, trademarks, or other protected material.

Does not violate privacy, publicity, or contractual rights.

Does not contain unlawful, harmful, fraudulent, or prohibited material.

Complies with these Terms and all Heyyo policies.

Creators must obtain all required permissions, licenses, releases, union clearances, music rights, publishing rights, performance rights, synchronization rights, master-use rights, location releases, appearance releases, and other approvals before uploading or monetizing content.

Heyyo may request proof of rights at any time. Failure to provide proof may result in removal of content, suspension of creator privileges, withholding of payments, or termination of the account.

13. Prohibited Content

Heyyo may prohibit, remove, restrict, demonetize, or refuse to host content that includes or promotes:

Illegal activity.

Sexual exploitation or abuse.

Child sexual abuse material or inappropriate content involving minors.

Graphic violence or sadistic content.

Terrorist or extremist activity.

Threats, harassment, or targeted abuse.

Hate-based attacks or dehumanizing content directed at protected classes.

Fraud, scams, phishing, or deceptive financial activity.

Unauthorized copyrighted material.

Revenge pornography or non-consensual intimate content.

Private personal information posted without consent.

Malware, hacking, credential theft, or cyber abuse.

Medical, legal, financial, or investment claims that are fraudulent or dangerously misleading.

Content that Heyyo determines may create legal, safety, reputational, financial, or operational risk.

Heyyo reserves the right to interpret and enforce prohibited content standards in its sole discretion.

14. Monetization Features

Heyyo may offer creators monetization features, which may include subscriptions, paid content, pay-per-view, livestream payments, tips, gifts, premium access, paid messaging, paid calls, paid community access, merchandise, digital products, sponsorship opportunities, advertising opportunities, or other revenue-generating tools.

Not all monetization features are available to all users or creators. Heyyo may approve, deny, limit, modify, suspend, or discontinue monetization features at any time.

Creators are not guaranteed income, revenue, subscribers, purchases, tips, gifts, sponsorships, payments, visibility, or engagement.

15. Creator Payouts

Approved content creators may be eligible to receive payouts from eligible monetized activity on Heyyo, subject to these Terms, Heyyo’s payment policies, applicable laws, payment processor rules, tax requirements, fraud review, chargebacks, refunds, account status, and any other requirements established by Heyyo.

Creators will only be eligible for payout after their creator account balance reaches at least $50.00 in eligible payable earnings. If a creator’s eligible payable balance is below $50.00, no payout will be issued until the threshold is reached.

Payouts are processed once per month according to Heyyo’s payout schedule. The timing of receipt of funds may depend on banks, payment processors, weekends, holidays, identity verification, tax documentation, fraud review, or other processing requirements.

Heyyo reserves the right to withhold, delay, offset, reverse, or deny payouts where Heyyo determines that earnings may be connected to fraud, abuse, chargebacks, refunds, illegal activity, intellectual property violations, payment processor holds, suspicious activity, violations of these Terms, or other risk.

16. Fees, Revenue Share, and Deductions

Heyyo may charge platform fees, transaction fees, payment processing fees, service fees, subscription fees, creator fees, withdrawal fees, currency conversion fees, chargeback fees, refund fees, or other amounts related to use of the platform.

Creator earnings may be reduced by applicable fees, refunds, chargebacks, taxes, payment processor costs, third-party fees, promotional discounts, adjustments, penalties, or amounts owed to Heyyo.

Heyyo may update its fees, revenue share, and payment policies at any time. Continued use of Heyyo after changes are posted or communicated constitutes acceptance of the updated terms.

17. Taxes

Creators are solely responsible for determining, reporting, collecting, remitting, and paying any taxes, duties, assessments, or governmental charges arising from their income, sales, services, subscriptions, tips, gifts, merchandise, digital products, or other monetized activity on Heyyo.

Heyyo may require creators to submit tax forms, taxpayer identification information, business information, or other documentation before payouts are issued. Heyyo may withhold payments if required information is not provided or if required by law.

18. Refunds and Chargebacks

Payments made through Heyyo may be subject to Heyyo’s refund policy, creator-specific terms, payment processor rules, and applicable law. Unless otherwise stated, purchases may be final and non-refundable.

Heyyo may issue refunds, credits, or reversals in its discretion. If a refund, chargeback, payment reversal, fraud claim, or dispute occurs, Heyyo may deduct the amount from creator earnings, future payouts, or account balances.

Creators are responsible for losses, fees, penalties, or deductions arising from chargebacks, fraudulent transactions, customer disputes, or violations of these Terms.

19. Subscriptions and Recurring Payments

Heyyo may allow users to purchase subscriptions or recurring services. By purchasing a subscription, you authorize Heyyo or its payment processor to charge your selected payment method on a recurring basis until canceled.

Subscription fees, billing cycles, cancellation rules, renewal terms, and access rights will be disclosed at the time of purchase or in related policies.

You are responsible for canceling subscriptions before renewal if you do not wish to continue. Failure to use a subscription does not automatically entitle you to a refund.

20. Payments Through Third-Party Processors

Heyyo may use third-party payment processors to process payments and payouts. By making or receiving payments through Heyyo, you agree to comply with all applicable payment processor terms, rules, identity verification requirements, fraud prevention procedures, chargeback procedures, and compliance obligations.

Heyyo is not responsible for delays, errors, freezes, holds, account closures, payment failures, or other actions taken by banks, card networks, payment processors, or third-party financial service providers.

21. Intellectual Property of Heyyo and Sikhona

Heyyo, Sikhona, the Heyyo name, logos, graphics, designs, software, code, features, platform structure, interface, trade dress, trademarks, service marks, copyrights, business methods, databases, text, icons, and other proprietary materials are owned by or licensed to Sikhona, Inc.

You may not copy, modify, reproduce, distribute, sell, lease, reverse engineer, scrape, frame, mirror, exploit, or create derivative works from Heyyo’s intellectual property without written permission from Sikhona.

No rights are granted to you except the limited right to use Heyyo in accordance with these Terms.

22. Copyright Complaints and Intellectual Property Claims

Heyyo respects intellectual property rights. If you believe content on Heyyo infringes your copyright, trademark, publicity rights, or other rights, you may submit a notice to Heyyo with sufficient information to identify the allegedly infringing material and your rights.

Heyyo may remove or restrict content in response to valid legal notices, credible complaints, repeat infringement, or risk of liability.

Creators who repeatedly upload infringing content may have content removed, monetization disabled, payments withheld, creator privileges revoked, or accounts terminated.

23. Content Removal and Moderation

Heyyo may remove, restrict, disable, demonetize, age-gate, limit, or refuse to publish any content at any time if Heyyo determines that the content violates these Terms, violates law, infringes rights, creates risk, or is inconsistent with Heyyo’s policies or business interests.

Heyyo is not obligated to host, publish, preserve, monetize, promote, or continue making available any user or creator content.

Removal of content does not necessarily entitle any user or creator to compensation, damages, reimbursement, or restoration.

24. Platform Availability

Heyyo may modify, suspend, discontinue, update, interrupt, limit, or terminate any part of the platform at any time. Heyyo does not guarantee uninterrupted access, error-free operation, constant availability, continuous monetization, permanent storage, or preservation of content.

Heyyo may perform maintenance, updates, security reviews, platform changes, feature changes, or emergency actions without notice.

25. No Guarantee of Earnings or Success

Heyyo does not guarantee that any creator will earn money, attract viewers, gain subscribers, receive likes, receive comments, build an audience, sell products, receive tips, receive gifts, obtain sponsorships, or achieve any business result.

Creators are solely responsible for their own content, marketing, promotion, audience development, business decisions, pricing, customer relationships, legal compliance, and financial outcomes.

26. User Data and Privacy

Your use of Heyyo is also governed by Heyyo’s Privacy Policy, which explains how Heyyo collects, uses, stores, and protects information. By using Heyyo, you consent to the collection and use of information as described in the Privacy Policy.

You agree that Heyyo may use account information, usage information, payment information, technical information, and other data as necessary to operate the platform, enforce these Terms, prevent fraud, process payments, comply with law, protect users, improve services, and communicate with you.

27. Communications and Notifications

By creating an account or using Heyyo, you agree that Heyyo may send you communications related to your account, platform activity, security, policies, payments, creator requests, payouts, subscriptions, purchases, updates, and other service-related matters.

Where permitted by law and with any required consent, Heyyo may also send promotional communications. You may be able to opt out of certain promotional messages, but you may still receive important account, legal, security, and transactional notices.

28. Third-Party Links and Services

Heyyo may contain links to third-party websites, services, products, apps, payment processors, advertisers, sponsors, creators, or external content. Heyyo does not control and is not responsible for third-party services or content.

Your use of third-party services is at your own risk and may be governed by separate terms and privacy policies.

29. Advertising, Sponsorships, and Promotions

Heyyo may allow advertising, sponsorships, promotions, featured placements, brand partnerships, creator promotions, or other commercial activities. Any such activities must comply with Heyyo policies and applicable law.

Creators are responsible for disclosing sponsorships, endorsements, affiliate relationships, paid promotions, free products, or other material connections where required by law.

Heyyo may remove or restrict promotional content that is misleading, unlawful, undisclosed, deceptive, harmful, or inconsistent with platform policies.

30. Account Suspension and Termination

Heyyo may suspend, restrict, disable, or terminate your account at any time, with or without notice, if Heyyo determines that you violated these Terms, violated law, created risk, engaged in fraud, infringed rights, abused the platform, submitted false information, failed verification, harmed users, or acted against the interests of Heyyo or Sikhona.

Upon termination, you may lose access to your account, comments, subscriptions, creator privileges, content, monetization tools, unpaid earnings, messages, data, and platform features.

Heyyo may retain certain information after termination as required or permitted for legal, tax, accounting, fraud prevention, dispute resolution, backup, security, and compliance purposes.

31. Effect of Termination on Creator Earnings

If a creator account is suspended or terminated, Heyyo may withhold unpaid earnings pending investigation. Heyyo may deny payout of earnings connected to fraud, illegal activity, intellectual property violations, chargebacks, refunds, platform manipulation, false information, prohibited content, or violations of these Terms.

If Heyyo determines that remaining earnings are legitimate and payable, Heyyo may issue payment according to its payout schedule, provided the creator has met the $50.00 minimum payout threshold and completed all required tax, identity, and payment documentation.

32. Security

You agree not to interfere with or compromise the security of Heyyo. You may not attempt to gain unauthorized access to accounts, systems, databases, servers, code, payment systems, administrator tools, creator tools, or user information.

You may not test, scan, probe, exploit, reverse engineer, attack, overload, disrupt, scrape, or bypass Heyyo’s systems without written authorization.

Heyyo may investigate suspected security violations and cooperate with law enforcement or third parties where appropriate.

33. Platform Abuse and Manipulation

You may not artificially inflate or manipulate views, likes, comments, subscriptions, earnings, tips, gifts, transactions, payouts, rankings, search results, creator metrics, or platform activity.

You may not use bots, farms, paid engagement schemes, fake accounts, deceptive promotions, coordinated manipulation, fraudulent payment methods, stolen payment cards, or other abusive tactics.

Heyyo may remove manipulated activity, adjust earnings, reverse payments, suspend accounts, terminate accounts, or take legal action.

34. Compliance With Laws

You agree to comply with all applicable federal, state, local, and international laws, rules, regulations, sanctions, export controls, tax laws, consumer protection laws, advertising laws, intellectual property laws, privacy laws, data protection laws, and payment regulations.

Creators are responsible for ensuring that their content, products, services, promotions, and monetization activities comply with applicable laws.

35. No Professional Advice

Content on Heyyo may include opinions, commentary, entertainment, education, religious content, political content, financial discussion, health discussion, legal discussion, or other material. Heyyo does not endorse, verify, guarantee, or provide professional advice through user or creator content.

You should not rely on content on Heyyo as a substitute for professional legal, medical, financial, tax, investment, mental health, or other expert advice.

36. Disclaimer of Warranties

Heyyo is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Heyyo and Sikhona disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and uninterrupted operation.

Heyyo does not warrant that the platform will be error-free, secure, uninterrupted, profitable, compatible with all devices, free of viruses, or available at all times.

37. Limitation of Liability

To the fullest extent permitted by law, Heyyo, Sikhona, and their officers, directors, employees, contractors, affiliates, representatives, licensors, service providers, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from or related to your use of Heyyo.

This includes damages related to loss of revenue, loss of data, loss of content, loss of goodwill, business interruption, account termination, content removal, payment delays, payout denials, unauthorized access, third-party conduct, platform changes, or inability to use Heyyo.

To the fullest extent permitted by law, Heyyo’s total liability for any claim shall not exceed the greater of the amount you paid to Heyyo in the three months preceding the claim or $100.00.

38. Indemnification

You agree to defend, indemnify, and hold harmless Heyyo, Sikhona, and their officers, directors, employees, contractors, affiliates, representatives, licensors, service providers, and partners from and against any claims, damages, losses, liabilities, costs, expenses, demands, judgments, penalties, fines, and attorney’s fees arising from or related to:

Your use of Heyyo.

Your content, comments, uploads, livestreams, products, services, or promotions.

Your violation of these Terms.

Your violation of law.

Your infringement of any third-party rights.

Your fraud, misconduct, negligence, or willful misconduct.

Your payment disputes, chargebacks, refunds, or tax obligations.

Your interactions with other users, creators, sponsors, advertisers, or third parties.

39. Disputes Between Users

Heyyo is not responsible for disputes between users, creators, subscribers, customers, sponsors, advertisers, or third parties. You are solely responsible for your interactions with others on or through Heyyo.

Heyyo may, but is not required to, assist in resolving disputes. Heyyo reserves the right to take action where disputes create legal, safety, financial, reputational, or operational risk.

40. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

41. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms, Heyyo, Sikhona, your account, your use of the platform, creator approval, monetization, payments, payouts, content removal, account termination, or any related matter shall be resolved through binding arbitration, except where prohibited by law or where Heyyo seeks injunctive or equitable relief.

The arbitration shall be conducted by a recognized arbitration provider selected by Heyyo, unless otherwise required by law. The arbitration shall take place in Delaware or another location selected by Heyyo, unless applicable law requires otherwise.

You agree to waive the right to bring or participate in a class action, collective action, consolidated action, private attorney general action, or jury trial to the fullest extent permitted by law.

42. Injunctive Relief

You agree that violations involving intellectual property, platform security, unauthorized access, confidentiality, fraud, misuse of Heyyo systems, or harm to Heyyo’s business may cause irreparable harm. Heyyo may seek injunctive or equitable relief in court without first pursuing arbitration where appropriate.

43. Changes to These Terms

Heyyo may update, modify, replace, or revise these Terms at any time. Updated Terms may be posted on the website, app, or otherwise communicated to users.

Your continued use of Heyyo after updated Terms are posted or communicated means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using Heyyo.

44. Additional Policies

Heyyo may publish additional policies, rules, creator agreements, community guidelines, privacy policies, payout policies, copyright policies, advertising policies, subscription terms, refund policies, or other terms. Those additional policies are incorporated into these Terms by reference.

If there is a conflict between these Terms and a specific written agreement signed by Heyyo and a creator, sponsor, advertiser, or partner, the signed agreement will control only to the extent of the conflict.

45. Assignment

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without written permission from Heyyo.

Heyyo and Sikhona may assign, transfer, delegate, license, or sublicense their rights and obligations under these Terms in connection with a merger, acquisition, sale, reorganization, financing, corporate transaction, change of control, asset transfer, or business restructuring.

46. No Waiver

Heyyo’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Heyyo.

47. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision shall be modified or interpreted to the maximum extent permitted by law to achieve its intended purpose.

48. Entire Agreement
